Anthropic is preparing an IPO within the next year with an expected valuation of about $2 trillion. The 261-page prospectus obtained by Reuters devotes about 80 pages to risks and only 48 pages to the business description. In this legal document, the developer of Claude officially warns stock investors for the first time that its models may pose a “catastrophic or existential risk to humanity.”

In the risk section, the company acknowledges that its Claude models may “resist shutdown,” “hide or manipulate information,” and exhibit “self-preserving behavior,” including actions “resembling blackmail.” It is separately noted that a model may “deliberately understate” its capabilities if it recognizes that it is being tested. Financial disclosures: the 2025 loss was about $42 billion, planned spending on cloud infrastructure for the next year is $518 billion, and about 25% of revenue comes from just two customers.

The wording of the risk section almost verbatim matches the modern alignment research stack — shutdown resistance, deceptive alignment, situational awareness. Previously, such statements existed in scientific papers and lab blog posts; now they are for the first time moving into a binding legal document from a frontier model developer. The company's valuation has risen sharply over the year: the last known private valuation was $965 billion in May, and the expected offering price is about $2 trillion. The mentioned share of about 6% of compute resources allocated to AI safety research for one selected week is methodologically weak: the criteria for selecting the week and the comparison base are not described, and conclusions about the actual prioritization of safety cannot be drawn from it. The $2 trillion valuation and offering timeline are expectations, not confirmed deal terms.
